The Developer Agreement.
This agreement is between you and Thayln ("we", "us"), of Sydney, New South Wales, Australia. It applies when you turn on developer access at developers.thayln.com and whenever you publish an app or skill in the AI Store. Our Terms of Use and the App Privacy Rules and Store Guidelines are part of it. If they ever conflict, this agreement wins for developer matters.
Who can join
- You must be 18 or over and able to make a binding agreement.
- If you join for a company or other organisation, you confirm you can accept this agreement for it. "You" then means the organisation.
- You can't join if the law, or sanctions that apply to you or to us, stop us dealing with you, or if we've closed a developer account of yours before for breaking this agreement.
Your account and Developer ID
- A developer account is your normal Thayln account with developer access turned on. You get a Developer ID, which identifies you and your apps.
- Keep your account details accurate, and keep your email secure: it's how you sign in.
- You're responsible for everything done with your account, including by anyone you let work on your apps.
- Your public profile (name, bio, logo, website, support contact and privacy policy link) is checked by an AI review before it's public. Our admins can hide a profile that's misleading or breaks the rules.
- You may connect GitHub. We get read-only access to the repositories you pick, and use it only for your apps.
The developer fee
- Developer access is free during early access.
- After that, it's US$49 a year. We'll give you at least 30 days' notice by email before the fee starts. If you don't want to pay it, you can stop before then.
- If you stop paying the fee, you can't publish new apps or versions. What happens to apps already sold is set out under "Ending this agreement" below.
The licence you give us
- You keep ownership of your apps, skills, listings and profile.
- You give us a worldwide, non-exclusive, royalty-free licence to review, test, sign, host, copy, distribute, sell, show and promote your apps and profile, and to let people install and use your apps under our Terms of Use.
- This includes running your app, listing and profile through our AI review (which uses our access to Anthropic's Claude) and human review.
- We can use your name, logo and screenshots to show and promote your apps in the AI Store and on our websites.
- The licence lasts while your app is in the AI Store, and after that for as long as people need it to keep using apps they already have.
Your responsibilities
- Honest listings. Your listing, screenshots, price and permissions must be accurate. Your app must do what its listing says.
- The rules. Follow the App Privacy Rules and Store Guidelines for every app and every version.
- Support. Paid apps need a working support contact on your profile. Answer people within a reasonable time.
- Privacy. Paid apps need a privacy policy linked from your profile. It must say truthfully what your app collects, why, and where it goes.
- The law. Follow every law that applies to your app and to you, including the Privacy Act 1988 (Cth) and other privacy laws, the Spam Act 2003, export and sanctions laws, and consumer laws, including the Australian Consumer Law.
- Consumer guarantees. Your app must meet the guarantees consumer law gives buyers. Fix faults in a reasonable time. We may give buyers refunds or other remedies they're entitled to, and those come out of your share.
- Security. Keep your app, your code and any server it talks to secure. Tell us at hello@thayln.com straight away if you find a security problem that could affect people.
- Rights. You must own, or have permission to use, everything in your app, including code, images, sounds, names and data.
Prices and commission
- You choose whether each app is free, a one-time purchase (from US$1.99), or a subscription (from US$0.99 a month, with an optional yearly price). You can also offer one bundle subscription to all your paid apps. Prices are in US dollars.
- Thayln is the seller of record for paid apps. People buy from us, and we pay you your share.
- We keep 30% of each sale as our commission. Once a single app (or your bundle) has sold US$1 million in the last 12 months, we keep 15% on the part of its sales above that. This is worked out per app, not per developer.
- If you move an app off subscriptions, people already subscribed keep it for good, at no further charge.
Payouts and tax
- Payouts are made through Stripe Connect. Stripe checks your identity and bank details, and Stripe's own terms apply to you. Your profile shows "Verified" once Stripe has checked you.
- We pay your share through Stripe on its payout schedule. We can hold a payout while Stripe's checks are incomplete, while a refund or chargeback is open, or where we reasonably suspect fraud.
- As seller of record, we collect and pay GST and similar taxes on sales where the law requires.
- You're responsible for your own taxes on what we pay you, including income tax and registering for GST or similar where you have to.
- If the law requires us to withhold tax from a payout, we will, and we'll tell you.
Refunds and chargebacks
- We handle refunds for paid apps, following our Refunds and cancellations page and consumer law.
- When a sale is refunded or charged back, your share of it is deducted from your next payouts. Any fees the payment provider charges for a chargeback on your app may also be deducted.
- If we can't recover an amount from payouts, you agree to pay it back when we ask.
Review, signing and removal
- Every app and version is reviewed before it's listed, by an AI review and by people. We can reject a version, and we'll tell you why.
- Releases are signed by Thayln. Don't try to get around signing or the sandbox.
- We can remove an app from the AI Store if it breaks this agreement or the rules, if the law requires it, or to protect people. We'll email you the reason.
- If an app is dangerous, for example malware or a privacy breach, we can remove it straight away, before we've heard from you, and tell the people who have it.
- Approval isn't a promise that an app is free of problems. You stay responsible for your app.
- If a paid app stops working as its listing says and we can't reach you for 30 days, we can remove it, stop its subscriptions, and give people the refunds or other remedies consumer law entitles them to. Those come out of your share.
Pausing your developer account
- We can pause your developer account if you seriously or repeatedly break this agreement, if there's fraud or a security risk, or if the law requires it. While paused, you can't publish, and we can hold payouts that relate to the problem.
- Where it's fair and safe to, we'll warn you first and give you a chance to fix things. You can reply to hello@thayln.com to ask us to look again.
Intellectual property
- You own your apps. We own Thayln, the developer kit, the AI Store, our names and logos.
- We give you a licence to use the developer kit and our documentation only to build apps for Thayln.
- Don't use our name or logo in a way that suggests we made or endorse your app, except as our brand rules allow.
- If someone says your app infringes their rights, we can remove it while it's sorted out.
Confidentiality
- We may share things with you that aren't public, such as early features, review notes or sales figures. Keep them confidential and use them only for your apps.
- We'll keep your private materials confidential too, such as unreleased apps and code you share through GitHub.
- This doesn't cover information that's already public, or that the law requires someone to share.
Warranties and disclaimers
- You promise that you can enter this agreement, that your apps and listings follow it, and that you have the rights to everything in them.
- We provide the developer kit, the AI Store and our services as they are. We don't promise any number of sales, or that the services will always be available or error-free.
- This is subject to the Australian Consumer Law. If you're a consumer under it, nothing here excludes your rights.
Indemnity
You agree to cover our reasonable losses and costs if someone makes a claim against us because your app breaks the law, infringes their rights, or misuses their information, or because you broke this agreement. This doesn't apply to the extent the loss was caused by us. We'll tell you about a claim promptly and let you help handle it.
Limits on liability
- As far as the law allows, neither of us is liable to the other for indirect loss, or for loss of profit, revenue or data.
- As far as the law allows, our total liability to you under this agreement is limited to the greater of US$100 and what we paid you in the 12 months before the claim.
- These limits don't apply to your indemnity, to amounts you owe us, to fraud, or to anything the law says can't be limited, including rights under the Australian Consumer Law.
Ending this agreement
- You can end this agreement at any time by asking us to close your developer account (email hello@thayln.com). Your developer account is part of your Thayln account: you can close it on its own and keep the rest, and closing your Thayln account closes it too.
- We can end it with 30 days' notice, or straight away for a serious breach, fraud, or where the law requires.
- When it ends, your apps come out of the AI Store. People who already have your apps keep them and can keep using them. People with a one-time purchase keep it for good. Subscribers keep the version they have, for good, and aren't charged again. Apps nobody got are deleted.
- If subscribers relied on your app's online features, which stop when it leaves the store, we may refund them the unused part of their period. That comes out of your share.
- We'll pay any share you're owed, less refunds, chargebacks and amounts you owe us, once those are settled.
- The parts about the licence for existing users, payments, confidentiality, indemnity, liability and the law stay in force after it ends.
Changes
- We may change this agreement, the developer fee or the commission. We'll email you at least 30 days before a change takes effect, unless the law or a security risk needs a quicker change.
- If you don't agree with a change, you can end this agreement before it applies.
The law that applies
- This agreement is governed by the law of New South Wales, Australia. You and we agree to the courts of New South Wales (sitting in Sydney), and the courts that can hear appeals from them.
- Please talk to us first at hello@thayln.com if something goes wrong. Most things can be sorted out quickly.
- This agreement doesn't make you our employee, partner or agent. You can't transfer it without our written agreement.
